Consulting contracts that price your time and cap your risk
Consultants sell judgement, which is hard to scope and easy to over-consume. A retainer turns into a hotline, an advisory project turns into implementation, and a 60-day payment term turns into 120. The contract sets the boundaries of access, advice and liability.

The contract and payment problems you actually run into
01
Retainers that become unlimited access
"Quick call?" messages at 9pm add up. Put the monthly hours or deliverables, response times and meeting cadence in the retainer, with what happens to unused hours.
02
Advice versus implementation
Recommending a new CRM is one engagement; migrating the data is another. A statement of work per phase keeps you from doing the second one for the price of the first.
03
Liability for the client's decisions
The client acts on your recommendation and it goes badly. Cap your liability at the fees paid and exclude indirect losses, so a mid-size engagement can't cost you the business.
04
Enterprise payment terms
Large clients push net 60 or 90 and send your invoice through procurement twice. Agree the payment term, late interest and the purchase order requirements before you start.

Questions
Should unused retainer hours roll over?
Most consultants either let them expire or allow one month of rollover. Unlimited rollover turns a retainer into a prepaid block you can be asked to deliver all at once.
Do I need an NDA as well as a consulting agreement?
If the agreement has a confidentiality clause, usually not. A separate NDA makes sense for the conversations before the engagement is signed.
