MUTUAL NON-DISCLOSURE AGREEMENT This agreement is made on 2026-09-24 between [First party name] and [Second party name] (each a "Party"). 1. Purpose. The Parties wish to share confidential information for the purpose of evaluating a potential business relationship (the "Purpose"). 2. Confidential Information. Any non-public business, technical, financial, or customer information one Party shares with the other, in any form, that is marked confidential or that a reasonable person would understand to be confidential. 3. Obligations. Each Party will use the other's Confidential Information only for the Purpose, will not disclose it to anyone except employees and advisers who need to know it and are bound by similar confidentiality duties, and will protect it with at least reasonable care. 4. Exclusions. These obligations do not apply to information that is or becomes public through no fault of the receiving Party, was already known to it, is independently developed, or is received lawfully from a third party. A Party may disclose information if required by law, after notifying the other Party where permitted. 5. Term. This agreement covers information shared during the Purpose, and the obligations last 2 years from the effective date. On request, each Party will return or destroy the other's Confidential Information. 6. No other rights. Nothing in this agreement grants a license or obliges either Party to enter into any further agreement. 7. Remedies & law. Unauthorized disclosure may cause irreparable harm, and the disclosing Party may seek injunctive relief in addition to other remedies. This agreement is governed by the laws of [State / country]. Mutual vs one-way NDA
A one-way NDA protects only the side that shares, for example when you show a contractor your product plans. A mutual NDA protects both sides, which is the norm when two businesses explore working together and both will reveal something. Either way, a good NDA is short: what is confidential, what the other side may do with it, what doesn't count, and for how long.
FAQ
Is a free NDA legally binding?
Yes, if both parties sign it and it's reasonable. Being generated for free doesn't matter; clear terms and signatures do. Electronic signatures are valid for NDAs in the US (ESIGN) and EU (eIDAS).
How long should an NDA last?
Two to five years is typical for business discussions. Trade secrets can be protected for as long as they stay secret; adjust the period to how long the information stays valuable.
Do freelancers need an NDA?
Often the client asks for one. If you're sharing your own methods or pricing, a mutual NDA protects you too. Many freelance contracts, including our free templates, already include a confidentiality clause.
What should never be in an NDA?
A non-compete or non-solicitation clause hidden inside it, or a definition of confidential information so broad it covers your own skills. Keep those out.
