Client materials clause for freelancers

A client materials clause: the client guarantees it has the rights to the logos, photos and copy it gives you, and covers you if it doesn't.

Client materials clause: copy and adapt

The Client warrants that it owns or has permission to use all text, images, logos, trademarks and other materials it provides to the Provider for use in the project, and that their use will not infringe any third party's rights. The Client will indemnify the Provider against any claim arising from materials supplied by the Client.

When to use it

Whenever the client supplies content you'll publish or build into the work. You can't check where every stock photo came from; this puts that risk where it belongs.

Variants by trade

Social media managers

The Client is responsible for approving all posts before publication and for the accuracy of any claims about its products or services.

Print designers

The Client is responsible for proofreading final artwork. The Provider is not liable for errors in approved proofs.

Frequently asked questions

Am I liable if a client gives me a stolen photo?

You can be, as the one who published it. This clause makes the client responsible and obliges them to cover the claim.

Should I still check client materials?

Flag anything obviously suspicious, like watermarked images. The clause protects you, but avoiding the problem is better.
