Invoice dispute clause for freelancers

An invoice dispute clause that gives the client a short window to query a bill and requires the undisputed part to be paid on time.

Invoice dispute clause: copy and adapt

If the Client disputes any part of an invoice, it must notify the Provider in writing within [7] days of the invoice date, stating the amount disputed and the reason. The undisputed portion remains payable by the due date. The parties will work in good faith to resolve the dispute within [14] days. Invoices not disputed within the notice period are deemed accepted.

When to use it

In any contract with recurring or hourly invoices. It stops a small disagreement over one line from freezing the whole payment.

Variants by trade

Hourly work

Disputes over hours billed must reference specific time entries. The Provider will share the time log for the disputed period on request.

Agencies

Disputed items are reviewed on the next scheduled account call; approved corrections appear as a credit on the following invoice.

Frequently asked questions

Why require the undisputed part to be paid?

Because otherwise a query over a small line item becomes a reason to hold back the entire invoice for weeks.

How long should the dispute window be?

Seven to fourteen days is common. Long enough to check the invoice, short enough that you're not surprised a month later.
