Notices clause for freelancers

A notices clause: how formal notices such as termination or breach must be sent, and when they count as received.

Notices clause: copy and adapt

Formal notices under this agreement (including termination, breach and payment demands) must be in writing and sent by email to the addresses below, or to any other address a party notifies. A notice sent by email is received on the next business day after sending, unless the sender receives an automated delivery failure. Client: [email]. Provider: [email].

When to use it

In every contract. When something goes wrong, the question 'did you actually give notice?' matters more than you'd expect.

Variants by trade

Larger clients

Notices of termination or breach must also be sent by registered post to the registered office of the receiving party.

Project messaging

Day-to-day communication may use [project tool]. Formal notices are only valid when sent by email as set out above.

Frequently asked questions

Is email valid notice under a contract?

If the contract says so, generally yes. If it specifies post or courier only, an email termination may not count.

What's the difference between a notice and normal communication?

Notices change legal positions: ending the contract, flagging a breach. Normal messages don't, so they don't need the same formality.
