Exclusivity clause for freelancers

An exclusivity clause: whether you can work for the client's competitors, for how long, and what exclusivity costs.

Exclusivity clause: copy and adapt

During the term of this agreement and for [3] months after, the Provider will not provide [the same category of services] to [named competitors / businesses in the Client's sector within its market]. In return, the Client will pay an exclusivity fee of [amount / percentage of the fee]. Outside this restriction, the Provider is free to work for other clients.

When to use it

Only when the client asks for it, and only for a price. Exclusivity limits your future income; it shouldn't be given away.

Variants by trade

Influencers

The Creator will not promote competing products in [category] for [30] days before and after the campaign's publication.

Non-exclusive (default)

This agreement is non-exclusive. The Provider may provide similar services to other clients, including in the Client's industry, without using the Client's confidential information.

Frequently asked questions

Should I charge more for exclusivity?

Yes. You're giving up work you could otherwise take. 20 to 50% on top of the fee, or a monthly retainer for the exclusivity period, is common.

Exclusivity vs non-compete: what's the difference?

Exclusivity is a paid, narrow promise tied to a named market or competitor list. A non-compete is broader and, for freelancers, often unenforceable.
