Suspension of work clause for freelancers

A suspension of work clause: the right to pause work, and move the deadline, when an invoice is overdue.

Suspension of work clause: copy and adapt

If any invoice is more than [14] days overdue, the Provider may suspend work on written notice until payment is received in full. Delivery dates are extended by the length of the suspension plus a reasonable restart period. Suspension does not affect the Client's obligation to pay for work already performed.

When to use it

In every project with staged payments. It stops you from working for weeks on credit for a client who has already stopped paying.

Variants by trade

Hosting and maintenance

If a maintenance invoice is more than [30] days overdue, the Provider may suspend maintenance and support services; hosting is not suspended without a further [14] days' notice.

Retainers

Unused retainer hours do not accrue during a suspension for non-payment.

Frequently asked questions

Can I stop working if a client hasn't paid?

With this clause, yes, and without being in breach yourself. Without it, stopping work could let the client claim you missed the deadline.

Does suspension move the deadline?

It should, and the clause says so explicitly. Otherwise the client could argue you're late on a project they paused by not paying.
