E-signature legality · Europe
Is electronic signature legal in Germany?
Yes. As an EU member state, Germany applies the eIDAS Regulation directly: a simple electronic signature is admissible as evidence and cannot be refused just because it is electronic, while a qualified electronic signature (QES) has the same effect as a handwritten one. Most commercial contracts in Germany have no form requirement at all, so an e-signed service agreement, NDA or freelance contract is binding.
The law
- eIDAS Regulation (EU) No 910/2014, as amended by Regulation (EU) 2024/1183 — Article 25: an electronic signature cannot be denied legal effect solely because it is electronic
- BGB § 126a — electronic form (requires a QES where the law demands written form)
- BGB § 126b — text form; most contracts need no form at all
What still needs wet ink, a notary or a qualified signature
- Contracts where the law demands written form (Schriftform) and a QES is not used — e.g. termination of employment (§ 623 BGB, electronic form excluded)
- Guarantees given by non-merchants (§ 766 BGB)
- Real estate purchases and other acts requiring notarisation (§ 311b BGB)
- Wills
Where Clinch fits
Clinch is built for everyday commercial agreements — freelance and agency contracts, statements of work, NDAs, quotes and service agreements — which in Germanyneed no special form. Every signature is captured with the signer's explicit consent, and the signed PDF carries an audit trail (name, email, timestamp of every event, hashed IP) plus a SHA-256 fingerprint of the exact document, so anyone can check it was not changed after signing.
It is a simple electronic signature, not a qualified one: for the documents listed above, use the formality the law requires.
