Your freelance contract

FREELANCE SERVICES AGREEMENT This agreement is made on 2026-10-24 between [Your name or business] (the "Freelancer") and [Client name] (the "Client"). 1. Services. The Freelancer will provide the following services and deliverables: [Describe the work and each deliverable]. Anything not listed here is outside the scope and will be quoted separately before any work starts. 2. Timeline. The Freelancer will deliver by [delivery date], provided the Client supplies the content, feedback and approvals the work depends on in good time. Client delays move the deadline by the same amount. 3. Fee. The Client will pay $3,000.00 for the services. Expenses are not included unless agreed in writing in advance. 4. Payment. The Client pays a non-refundable deposit of $1,500.00 (50%) before work begins. The balance of $1,500.00 is due on delivery, within 14 days of the Freelancer's invoice. Late amounts accrue interest at the maximum rate permitted by law, and the Freelancer may pause work until overdue invoices are paid. 5. Revisions. The fee includes 2 rounds of revisions. Further revisions or changes in scope are billed at the Freelancer's standard rate, agreed in writing before the work is done. 6. Ownership. Once the Client has paid in full, the Freelancer assigns to the Client all rights in the final deliverables. Until then, all rights stay with the Freelancer. The Freelancer keeps its pre-existing tools, know-how and materials, and may show the work in its portfolio unless the Client objects in writing. 7. Cancellation. Either party may end this agreement with written notice. If the Client cancels, it pays for all work done up to the cancellation date and in any case not less than 25% of the total fee; the deposit counts toward this amount. 8. Independent contractor. The Freelancer is an independent business, not an employee, and is responsible for its own taxes, tools and working methods. 9. Confidentiality. Each party keeps the other's non-public information confidential and uses it only for this project. 10. Liability. Neither party is liable for indirect or consequential losses. The Freelancer's total liability is limited to the fees paid under this agreement. 11. Governing law. This agreement is governed by the laws of [State / country]. It is the entire agreement between the parties and can only be changed in writing. Signed: [Your name or business] ______________ [Client name] ______________

What a freelance contract must cover

Most freelance disputes come from five gaps: a vague scope, no deposit, open-ended revisions, unclear ownership of the work, and no rule for what happens if the client walks away. This generator closes all five: it lists the deliverables, takes a deposit before you start, caps revisions, says when the rights pass to the client, and sets a kill fee for cancellations.

FAQ

Is a freelance contract generated online legally binding?

Yes, if both sides agree and sign. What makes a contract enforceable is clear terms and consent, not how it was drafted. Electronic signatures are valid for service contracts in the US (ESIGN Act), the EU (eIDAS) and the UK.

How much deposit should a freelancer ask for?

25% to 50% up front is standard; 50% is common for new clients and fixed-price projects. Small jobs are often paid 100% in advance. The deposit covers your time if the client disappears.

Who owns the work in a freelance contract?

Without a written agreement, in many countries the creator keeps the copyright. Most clients expect ownership, so the usual compromise is that rights pass to the client only once the invoice is paid in full.

What is a kill fee?

A fixed share of the fee (often 25% to 50%) the client pays if it cancels the project midway. It protects the time you blocked out and the other work you turned down.

Do I need a contract for a small freelance job?

Yes. A one-page agreement with scope, price and payment terms takes two minutes and is the only thing that settles an argument about what was promised.
