An independent contractor agreement is the formal name for a freelance contract: it establishes that you run your own business and provide services to the client, rather than being their employee. That distinction matters for taxes, benefits and liability on both sides.
Clauses that support contractor status
- You control how, when and where the work is done; the client controls the result.
- You supply your own tools and equipment.
- You are free to work for other clients.
- You are responsible for your own taxes and insurance.
- Payment is per project or deliverable, not a salary.
Wording alone doesn't decide classification (the actual working relationship does), but a contract that contradicts reality is a red flag for both sides.
